1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of our website located at GodspeedClothingBrand.com, related services, and any purchases you make from us (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility & Account

• To purchase from our site, you must be at least 18 years old or the age of majority in your jurisdiction and capable of entering into a binding contract.
• You may create an account to streamline checkout. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.
• We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion where we believe there is fraud, abuse, or violation of these Terms.

3. Orders, Pre‑Orders & Availability

• All orders are offers to purchase products. Acceptance occurs when we email an order confirmation and charge your payment method. Order confirmation does not guarantee availability.
• We operate limited drops and capsules; quantities are restricted and may sell out quickly. We may cancel or limit quantities for any order, including suspected resellers, bulk orders, or violations of policy. We do not permit unauthorized resale.
• Pre‑orders are charged at checkout unless stated otherwise. Estimated ship dates are provided as guidance and may change due to production timelines. We will notify you of material delays or changes where possible.
• Colors, graphics, fits, and materials are represented as accurately as possible; however, screen settings and production variations may result in differences. Size charts are for reference only.

4. Pricing, Taxes & Payments

• Prices are listed in U.S. Dollars unless noted. We may change prices at any time without notice. The price charged is the price displayed at the time of your order, plus applicable taxes, duties, and shipping.
• We accept major payment methods as indicated at checkout. By submitting a payment method, you represent that you are authorized to use it and authorize us (or our payment processor) to charge the full order amount, including any recurring or split payments where offered.
• Taxes and duties are calculated based on shipping destination and applicable laws. International customers may be responsible for additional import duties, fees, and customs clearance, which are not controlled by us.
• In the event of a pricing, stock, or promotional error, we may cancel any affected orders and refund any amounts paid.

5. Shipping, Risk of Loss & Delivery

• Shipping options, carriers, costs, and estimated timelines are provided at checkout and in our Shipping Information. Estimates are not guarantees and exclude weekends and holidays.
• Risk of loss and title pass to you upon our delivery of the order to the carrier. Please provide a secure delivery address. We are not responsible for packages after carrier confirmation of delivery.
• Refused, unclaimed, or undeliverable packages may be returned to us; we may deduct return shipping and handling from any refund where applicable.
• We may ship items in multiple packages. Tracking information will be provided when available.

6. Refunds, Returns & Exchanges

Our policies for returns, exchanges, and refunds are described in detail on our Refund & Returns Policy. Subject to that policy:

• Items must be in original condition, unworn, unwashed, with tags attached and in original packaging, within the stated return window.
• Final sale, limited collaborations, and certain discounted items may be ineligible for return or exchange.
• Original shipping fees are non‑refundable unless required by law or where the return is due to our error.

7. Promotions, Gift Cards & Credits

• Promotional codes are single‑use unless stated otherwise, may not be combined, and are valid only for the period specified. We may modify or cancel promotions at any time.
• Gift cards and store credits are non‑refundable and not redeemable for cash except as required by law. Treat them like cash; we are not responsible for lost or stolen cards.
• If you return items purchased with a promotion, the value of the promotion may be prorated or voided per the promotion’s terms.

8. Intellectual Property

All content on the Services—including designs, graphics, logos, product names, images, videos, text, and code—is owned by or licensed to Godspeed and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without our prior written consent.

“Godspeed Clothing Brand,” “GSPD,” and associated marks are trademarks or trade dress of Godspeed. All other trademarks are the property of their respective owners.

9. User Content & Reviews

• If you submit reviews, photos, or other content (“User Content”), you grant Godspeed a worldwide, royalty‑free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, distribute, adapt, publish, translate, create derivative works from, and display such content for any purpose, including marketing.
• You represent that you own or control the rights to your User Content, that it is accurate, and that our use will not infringe any rights of any third party or violate any law.
• We may remove or decline to post User Content for any reason, including content that is unlawful, offensive, misleading, or violates these Terms.

10. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable law, regulation, or third‑party right.
• Engage in fraud, deceptive practices, or unauthorized resale or bulk purchasing.
• Interfere with or disrupt the security, integrity, or performance of the Services.

From time to time, our products may be sold through authorized retail partners. Purchases made through partners are subject to those partners’ terms, and any issues must be handled with the original seller.

13. Disclaimers & Warranties

• EXCEPT AS EXPRESSLY PROVIDED IN WRITING, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
• We do not warrant that the Services will be uninterrupted, secure, or error‑free, or that defects will be corrected, or that content is accurate or complete.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GODSPEED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO GODSPEED FOR THE PRODUCT OR SERVICE AT ISSUE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; IN SUCH CASES, THE FOREGOING LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED.

15. Indemnification

You agree to defend, indemnify, and hold harmless Godspeed and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third‑party rights.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. Upon termination, provisions that by their nature should survive will remain in effect, including ownership, warranty disclaimers, limitations of liability, arbitration, and indemnity.

17. Governing Law

These Terms and your use of the Services are governed by the laws of the State of New York, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute Resolution & Arbitration

• Informal Resolution. Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally within 30 days.
• Binding Arbitration. Except for claims that qualify for small claims court, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration on an individual basis in New York County, New York, under the Commercial Arbitration Rules of the American Arbitration Association. The Federal Arbitration Act and federal arbitration law apply.
• Class Action Waiver. YOU AND GODSPEED AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
• Opt‑Out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name and your clear intent to opt out.

19. Changes to the Terms

We may update these Terms from time to time. Changes are effective when posted on this page with the “Last updated” date revised. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
